1. Introduction
These Terms and Conditions (‘Terms’) govern all consultancy, analytical, and advisory services provided by Prometis Analytics(‘we’, ‘us’, ‘our’) to clients (‘you’, ‘your’). By engaging our services, you agree to these Terms in full.
2. Scope of Services
We provide consultancy in science, data analysis, quantitative problem-solving, and related fields. The scope and deliverables for each project are defined in the written proposal or agreement.
3. Payments
All fees are quoted exclusive of VAT (if applicable) and payable within 14 days of invoice unless otherwise agreed. We reserve the right to suspend work for late payments and may charge interest on overdue balances under the UK Late Payment of Commercial Debts (Interest) Act 1998.
4. Refunds & Cancellations
As our consultancy work is bespoke, no refunds are issued once work has commenced. If you cancel before work begins, deposits may be refunded at our discretion, minus any administrative or preparatory costs. If a project is terminated early, payment remains due for work completed up to the cancellation date.
5. Delivery of Work
We will use reasonable skill and care in performing our services. Timelines are estimates and may be adjusted due to external factors beyond our control.
6. Use of Reports, Insights, and Recommendations
Our reports, models, insights, and recommendations are for informational and advisory purposes only. We do not guarantee specific results, and you remain solely responsible for how you interpret or act upon our findings. We accept no liability for any direct or indirect loss arising from the use or misuse of our outputs.
7. Confidentiality
All client data and project information are treated as confidential. We will not share your information with third parties except where required by law or agreed in writing.
8. Intellectual Property
Unless otherwise agreed, all intellectual property developed during a project remains our property. You are granted a non-exclusive licence to use deliverables internally for your business purposes.
9. Limitation of Liability
Our total liability for any claim related to our services is limited to the total fees paid for that engagement. We are not liable for any loss of profits, data, or consequential damages. Nothing excludes liability for death, personal injury, or fraud.
10. Data Protection
We process all personal data in accordance with the UK GDPR and our Privacy Policy.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
